Terms & Conditions

Social Covered Ltd provides managed growth services, digital growth infrastructure and software platforms through Social Covered, SC Hub and associated products. These Terms & Conditions govern your use of our website, customer portals, subscriptions and services. By accessing or using the Social Covered website, SC Hub platform, or any services provided by Social Covered Ltd ("Social Covered", "we", "us"), you agree to be bound by these Terms & Conditions. If you do not agree, please do not use our services.
1. Definitions
- SC Hub β the growth platform through which you access content systems, approvals, analytics, and growth tools.
- Growth Hub β your portal workspace within SC Hub where services are managed.
- Foundation Membership β a recurring monthly content plan (Egg, Chick, Farm, or Ranch).
- Growth Departments β specialist services added to your Growth Hub (e.g. SEO, Email Marketing, Website, Brand).
- Growth Systems β platform extensions such as Training Platform or Course Creation Module.
- Growth Projects β one-off services such as Business Launch, Website Growth, or Commercial Production.
- Digital Workforce β professionally managed digital assets such as Digital Ambassador or Digital Clone.
- Credits β the usage allocation included with your plan for service consumption.
- Sarah β Social Covered's Executive AI Growth Director operating throughout SC Hub and associated customer workspaces.
2. Growth Hub and Portal Access
When you subscribe to a Social Covered plan, you receive access to SC Hub and a Growth Hub portal account. Portal access is granted based on your subscription tier and activated services. You may invite team members to your portal; you are responsible for their activity and must ensure they comply with these terms. You remain responsible for maintaining appropriate security over your account credentials and for all activity carried out under your account unless caused by our negligence. Access to specific features, modules, and services depends on your active subscription and any additional services you have purchased.
3. Subscriptions and Monthly Plans
Foundation Memberships are recurring monthly subscriptions billed in advance. When you subscribe to a monthly plan:
- Your subscription renews automatically on the same date each month until cancelled.
- You can cancel at any time; cancellation takes effect at the end of your current billing period.
- Annual billing offers a 20% discount compared to monthly billing, paid in advance for 12 months.
- Price changes will be communicated at least 30 days in advance and apply from the next renewal.
- Failure to collect payment may result in suspension of services until the account is brought back into good standing.

4. One-Off Services
Growth Projects and some Growth Systems and Digital Workforce items are one-off services. These are delivered as scoped engagements with defined deliverables. One-off services are non-recurring and are not subject to automatic renewal. Payment for one-off services is due before production begins unless agreed otherwise in writing. Delivery timelines begin once all required information, assets and approvals have been received.
5. Digital Workforce
Digital Workforce capabilities β including Digital Ambassador, Digital Clone, and Enterprise Digital Team β are professionally managed digital assets, not software licences. These assets are produced for your business and managed through SC Hub. Usage rights, production scope, and management terms are defined in the service agreement specific to each Digital Workforce item.
6. Credits
Credits are the usage allocation included with your Foundation Membership for consuming services within SC Hub. Credits are applied to service requests, content production, and other platform activities based on the credit value assigned to each service type. Credits:
- Are included monthly with your plan and do not roll over beyond the current billing period unless stated otherwise.
- Can be purchased as additional top-up credits if needed.
- Are non-refundable once consumed against a service request.
- Have no cash value.
- Cannot be exchanged for refunds once consumed.
- Cannot be transferred between customer accounts unless expressly authorised by Social Covered.
- Are tracked through your Credit Wallet within SC Hub.

7. Acceptable Use
You agree to use SC Hub and our services only for lawful purposes. You must not:
- Use the platform to publish unlawful, defamatory, infringing, or harmful content.
- Attempt to gain unauthorised access to any part of the platform, other accounts, or systems.
- Misuse OAuth authorisations to access data you are not entitled to.
- Resell, sublicense, or redistribute access to SC Hub without written permission.
- Use the platform in a manner that could damage, disrupt, or impair service availability.

8. Customer Responsibilities
You are responsible for:
- Maintaining the confidentiality of your account credentials.
- Ensuring you have the authority to connect social media accounts to Social Covered.
- Reviewing and approving content before publication through SC Hub approval workflows.
- Providing timely feedback and approvals to avoid delays in service delivery.
- Ensuring all business information, brand assets, and content supplied to Social Covered is accurate and lawful.
- Complying with all applicable laws and the terms of service of any connected platforms.
- Maintaining appropriate backups of any information you consider business critical.
- Notifying us immediately of any unauthorised access to your account.
9. Intellectual Property
All content, branding, platform design, and materials on the Social Covered website and SC Hub are the property of Social Covered Ltd unless otherwise stated. You may not reproduce, distribute, or use platform materials without written permission.
Upon full payment of the applicable fees, ownership of final deliverables created specifically for your business transfers to you unless otherwise agreed in writing. Social Covered retains the right to use completed work for portfolio and case study purposes only with your prior written consent.
10. Service Availability
We make commercially reasonable efforts to maintain the availability, reliability and security of our services. However, service availability may be affected by:
- Scheduled maintenance, which will be communicated in advance where possible.
- Third-party platform outages, API changes, or policy updates (Facebook, Instagram, Google, etc.).
- Force majeure events including natural disasters, cyber incidents, or infrastructure failures beyond our control.
Social Covered is not responsible for service interruptions caused by third-party platforms. Platform integration features may become unavailable due to third-party API changes or policy decisions outside our control.
11. OAuth Authorisation and Connected Accounts
When you authorise Social Covered to access your social media accounts:
- You grant us permission to perform only the actions you specifically authorise.
- We store authorisation tokens securely to maintain the connection.
- You may withdraw authorisation at any time through your account settings or the connected platform's settings.
- Revoking access will prevent Social Covered from making further changes to your connected accounts.
12. Termination
You may cancel your subscription at any time; cancellation takes effect at the end of your current billing period. Social Covered reserves the right to suspend or terminate your account if you violate these terms, applicable laws, or the terms of connected platforms. Upon termination, your connected platform access will be revoked and you will lose access to SC Hub services. Termination of the agreement does not remove any payment obligations already incurred. Data retention following termination is governed by our Privacy Policy and Data Deletion Policy.
13. Limitation of Liability
To the maximum extent permitted by law, Social Covered shall not be liable for any indirect, incidental, special, or consequential damages arising from:
- The use or inability to use our services or website.
- Service interruptions due to third-party platform changes or outages.
- Unauthorised access to your accounts or data.
- Loss of data, content, or functionality.
- Expired authorisations, revoked permissions, or third-party API changes.
- Platform account restrictions, suspensions, or policy enforcement by third parties.
Our total liability for any claim arising from these terms shall not exceed the amount you have paid to Social Covered in the three months preceding the event giving rise to the claim.
Nothing in these Terms excludes liability that cannot legally be excluded under applicable law, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.
14. Refunds
Refund terms are detailed in our Refund Policy. Subscription cancellations do not automatically entitle you to a refund for the current billing period unless required by law.
15. Changes to These Terms
We may update these Terms & Conditions from time to time. Material changes will be communicated at least 30 days in advance. Continued use of our services after changes take effect constitutes acceptance of the updated terms.
16. Governing Law
These Terms & Conditions shall be governed by and interpreted in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction unless otherwise required by applicable law.
